Founder’s Office salary and ESOPs in India: evaluate the whole offer

A Founder’s Office offer cannot be judged by CTC alone. Compare guaranteed cash, variable-pay conditions, actual responsibilities and the written equity terms. Two offers with the same headline number can have very different financial and career implications.

Start with a role-matched comparison

The title spans junior project roles, experienced commercial operators and senior executive partners. Comparing all of them as one salary category creates a misleading benchmark. Location, company stage, functional depth and expected authority also matter.

This guide does not claim a current market salary range. For a hiring decision, assemble recent, comparable job postings and candidate expectations, record the dates and separate disclosed compensation from estimates. Ask whether each role genuinely matches yours.

Break down the cash

Request the annual fixed component, monthly gross pay, employer contributions included in CTC, and variable compensation separately. In-hand pay depends on deductions and individual tax circumstances; it is not simply CTC divided by twelve.

  • Which amounts are guaranteed?
  • What measurable event triggers variable pay?
  • Who judges achievement, and when is payment due?
  • Is a joining bonus repayable if you leave?
  • Are business expenses reimbursed separately?

For founders, publish an honest compensation range where possible. Do not advertise a headline that relies on an unlikely maximum incentive.

Read ESOPs as a contingent benefit

An option grant is not cash in the bank. Ask for the grant size, the fully diluted ownership percentage and its calculation date, vesting schedule, cliff, exercise price and post-employment exercise window. Request the actual plan and grant documents rather than relying on a conversation.

Ask what happens on departure, acquisition and future funding rounds. Liquidity may never occur, and dilution can change ownership. Tax consequences depend on the specific arrangement and circumstances; obtain qualified Indian tax and legal advice before exercising options or making a material decision.

Price the scope honestly

A role that combines weekend availability, revenue ownership, hiring coordination and extensive travel should not be assessed like a narrow analytical role. Document working expectations, travel policy, reporting line and the first six months of outcomes.

Candidates should ask what happens after the initial mandate. Founders should describe possibilities without promising a future leadership title that the business may never support.

Negotiate with a clear trade-off

Compare offers in separate columns for guaranteed cash, uncertain upside, scope and learning conditions. Decide your minimum acceptable cash independently of an optimistic equity outcome. A good negotiation makes the trade-off explicit; it does not turn a vague future opportunity into a substitute for a workable offer today.
